Association By-Laws
The Town Highway Superintendents Association of Allegany County, Inc. operates under these By-Laws, which guide the organization’s mission, structure, and operations.
These By-Laws ensure transparency, consistency, and cooperation among our members while supporting our shared goal of providing safe and efficient service to the residents of Allegany County.

ARTICLE I- ORGANIZATION NAME
Section 1:
This organization shall be known as the Town Highway Superintendents Association of Allegany County, Inc.
Section 2:
Within these By-Laws, the “Town Highway Superintendents Association of Allegany County, Inc.” may also be referred to as the Association.
ARTICLE II- MISSION STATEMENT
Section 1:
The mission of the Association is to act as a medium of instruction in the conduct of highway construction and maintenance throughout the municipalities of Allegany County. The Association provides a forum for members to exchange ideas, improve local highway operations, coordinate efforts for safer and more efficient road systems, and serve as a central point of communication through acthsa.net.
The Association also investigates, studies, and recommends improvements in government; advocates legislation beneficial to New York’s municipalities; and upholds the principle of home rule in local government.
Section 2:
All objectives of the Association shall be pursued on a strictly nonpartisan basis. No partisan matter shall be presented or discussed as official business at any Association meeting.
ARTICLE III- OFFICERS AND ELECTIONS
Section 1:
The officers of the Association shall be President, 1st Vice President, 2nd Vice President, and Secretary-Treasurer. Each shall serve for one year, beginning January 1 following election.
Section 2:
On the second Tuesday of September, the President shall appoint a Nominating Committee of up to five members to prepare nominations for all Officers and Executive Committee Members. Additional nominations may be made from the floor during the Annual Meeting, when elections are held.
Section 3:
The Executive Committee shall consist of 14 members:

The four elected officers

Three active Town Superintendents

Three Associate Members
-
One representative from Allegany County D.P.W.

One Village Superintendent
-
One past Executive Committee member serving as Event Coordinator
Section 4:
Vacancies in office shall be filled for the unexpired term by a majority vote of the Executive Committee.
Section 5:
The Executive Committee shall audit the Treasurer’s books quarterly, beginning at the organizational meeting in January.
ARTICLE IV- DUTIES OF THE EXECUTIVE COMMITTEE
President: The official representative of the Association; presides at meetings, appoints committees, and oversees all business.
1st & 2nd Vice Presidents: Act in the President’s absence in order of succession.
Secretary: Records meeting minutes, administers the Drug and Alcohol Program, and performs all secretarial duties.
Treasurer: Receives and safeguards all funds, manages accounts, and ensures audits are performed.
Event Coordinator: Works with officers to share information, coordinate with outside agencies, and assist with event planning.
The Executive Committee manages all Association affairs between regular meetings and authorizes necessary expenses.
ARTICLE V- MEMBERSHIP
Membership classes: Active, Associate, Retiree, Honorary, and Volunteer.

Active Members – Elected or appointed Highway Superintendents in good standing; have voting rights.

Associate, Retiree, Honorary, and Volunteer Members – Non-voting.

Retiree – Former members (Superintendent or Associate) with less than 10 years of participation.

Honorary – Retired Town/Village Superintendents or Associate members with 10 or more years of participation, and any Superintendent disabled or deceased while in office.

Volunteer – Appointed annually by the Executive Committee; charged $25 per meal.
Membership Requirements:

All assessments paid by the January meeting.

Reinstatement requires Executive Committee approval.

Dues set annually by the Executive Committee.

Members acting against the Association’s Mission may be removed by majority vote.
ARTICLE VI- MEETINGS
Meetings are held monthly within Allegany County, as approved by the Executive Committee.
Meal Costs:

Highway Department attendees – $20
-
Non-Highway attendees – $25
-
Retirees – $10
-
Honorary members – $10
Costs are reviewed annually.
A Town Superintendent must attend at least five meetings per year to host a meeting. Hosts must return signed venue contracts two weeks prior to the event.
Special Meetings: May be called by the President.
Notices: Sent via website, email, or mail at least five days in advance.
Quorum:

Special meetings – 51% (including President or VP)

Executive meetings – 8 members (including President or VP)
The November meeting is the Annual Meeting.
ARTICLE VII- SALARIES
No salaries shall be paid to officers; however, expenses incurred in official duties may be reimbursed.
ARTICLE VIII- PAID EXPENSES
Members serving on the Executive Committee of the NYS Association of Town Superintendents of Highways may have expenses covered with Association approval.
Other members may have expenses paid for events beneficial to the Association, subject to Executive Committee approval.
ARTICLE IX- BY-LAW AMENDMENTS
By-Laws may be amended by a majority vote at any regular or special meeting where a quorum is present.
